Northwest Registered Agent vs LegalZoom (2026): Which One Actually Works for Non-US Founders?

Almost every founder who writes to us has already opened two browser tabs: Northwest Registered Agent in one, LegalZoom in the other. Both look credible. Both promise a US company in a few clicks. And both are, to be blunt, built for a customer who lives in Ohio and has a Social Security number.

This comparison is written from a different angle. We form Wyoming LLCs for people who have never set foot in the United States, so what interests us is not the sticker price on the homepage — it is what happens in week two, when you need an EIN, a bank account and someone who answers an email at 11pm your time.

The short version

Northwest is the better company. LegalZoom is the bigger one. Neither is built for non-residents, and that difference costs you either money or months.

Northwest wins on privacy, on customer service and on not selling your data. LegalZoom wins on brand recognition and on the breadth of legal add-ons, most of which you will never touch. If you are a US resident forming a small side business, flip a coin — you will be fine either way. If you are sitting in Lisbon, Lagos, Dubai or Manila, the calculation changes completely, and we will get to why.

Pricing: what each one actually charges

At the time of writing, both companies use the same playbook: a low formation fee that gets you in the door, then annual costs that quietly stack up.

Two things to notice. First, the headline number is never the number. Second, the recurring cost is where the real difference shows up — a "free" formation with a $300 compliance subscription attached is not free, it is financed.

Privacy: Northwest is genuinely better here

Northwest built its brand on a promise it mostly keeps — it does not sell customer data, and it puts its own address on public filings where the state allows it. For a founder who does not want a home address in Belgrade or Bogotá showing up in a public database, that matters.

LegalZoom is a public company with a marketing engine attached. You will get emails. You will get offers. Your information moves through more systems.

That said, both approaches stop at the same wall: the organizer and the registered agent are covered, but the person actually running the company still shows up in bank paperwork, in payment processor onboarding and in IRS filings. Privacy on the state record is one layer, not the whole story. Customer service: this is where LegalZoom loses people

Northwest gives you what it calls Corporate Guides — actual humans who pick up the phone. In our experience helping clients untangle filings made elsewhere, Northwest support is the least frustrating of the big US providers.

LegalZoom support is a call centre. It is fine for a password reset and hopeless for anything unusual, and "I am a Brazilian citizen with no SSN trying to get an EIN" is very much unusual to them. We have seen founders bounce between three departments over ten days to get an answer that took us one email to the IRS practitioner line.

Also worth saying plainly: both companies operate on US business hours. If you are nine time zones away, a two-round-trip question turns into a week.

The EIN problem nobody advertises

This is the fork in the road for non-residents, and it is the reason so many people abandon the DIY route halfway through.

If you have a Social Security number, you get an EIN online in about fifteen minutes. If you do not — and as a non-resident, you do not — the online application is closed to you. The application has to go through Form SS-4 by fax or phone, filed by someone who knows how the IRS handles foreign responsible parties.

Northwest will file it for you as a paid add-on, and they do it competently, but timelines are quoted conservatively and they will not chase the IRS on your behalf. LegalZoom sells the same service and, in the cases we have cleaned up, is slower and vaguer about status.

Banking: the step both of them hand back to you

Neither Northwest nor LegalZoom opens a US business bank account for a non-resident. They may link you to a partner, and that is where the relationship ends.

What actually determines whether Mercury, Relay or a similar provider approves you is boring and specific: whether your formation documents match your passport exactly, whether your EIN letter is in hand, whether your business description sounds like a real business, and whether your country of residence is on anyone's restricted list. Get one of those wrong and you get a rejection email with no explanation and no appeal.

Compliance after year one

Forming the company is the easy part. Keeping it alive is where founders get hurt, usually because nobody told them about Form 5472.

A single-member LLC owned by a non-US person is a "foreign-owned disregarded entity", and it must file Form 5472 with a pro-forma 1120 every year — even with zero revenue. The penalty for missing it starts at $25,000. Northwest does not file it. LegalZoom does not file it. Both will happily renew your registered agent service while that clock runs.

So which one should you pick?

Between the two: Northwest, almost every time. Better privacy, better people, fewer upsells, and a registered agent service that does what it says. If your only question is "Northwest or LegalZoom", stop reading and choose Northwest.

But that is the wrong question for most people who land on this page. The right question is whether a US-focused filing service is the right shape of help at all when you are a foreign founder. A registered agent forwards mail. It does not tell you that your Bulgarian tax residency changes how you should invoice, or that your Stripe application will fail because the business address does not match the formation state, or that you need an operating agreement with specific language before a bank will accept a single-member entity.

That is the gap. It is not a criticism of Northwest — they never claimed to fill it.

Abstractions do not help much here, so take three people we have actually worked with and see where each comparison lands.

Revenue under $80,000, no employees, no inventory, no investors. What he needs is a compliant entity, an EIN, a bank account and someone to file the federal return once a year. LegalZoom would sell him a subscription he does not need. Northwest would form the company competently and leave him alone with the IRS. Neither is wrong; both are incomplete. Here the formation is the easy part and the payment processor is the hard part. Shopify Payments and Stripe both scrutinise the match between the entity, the beneficial owner and the address. A generic filing that puts a registered agent address in the business address field will pass the state and fail the processor. Northwest will not warn you about that, because it is not their layer. Two members means the LLC defaults to partnership treatment for federal purposes, which is a different return, a different set of schedules and a K-1 for each founder. Filing this as a single-member LLC because the checkout flow assumed one owner is a genuinely expensive mistake. Neither Northwest nor LegalZoom asks the question in a way that surfaces it. The five questions to ask any provider before you pay

1. Which channel do you use to file the SS-4 for a foreign responsible party? If the answer is vague, the EIN will be slow.
2. Who files my Form 5472 next year? If the answer is "you do", budget for an accountant now.
3. What happens if my bank application is declined? A referral link is not a plan.
4. What is the total for year two, itemised? Year one is marketing; year two is the real price.
5. Who answers when the IRS writes to me? The reply to this one tells you what you are actually buying.

Any provider that answers all five clearly is worth considering, including the ones on this page that are not us. A provider that dodges them is selling a checkout flow.

If you are a US resident forming a small business, Northwest wins this comparison. Better privacy, better support, better value than LegalZoom, and you already have the SSN that makes the rest of the system work.

If you are a non-US resident, neither of them wins — because neither is competing in the race you are running. They both stop at the state filing, which is the easiest 10% of the job. The other 90% — EIN without an SSN, a bank that will actually onboard you, processors that will not freeze your payouts, and a federal return with a $25,000 penalty attached if it is missed — is handed straight back to you.

Can I use Northwest if I live outside the US?
