Finnish SaaS founders, mobile-game studios, consultants and content operators in Helsinki, Espoo, Tampere and Oulu use a Wyoming LLC alongside their osakeyhtiö (Oy) to invoice US clients cleanly, unlock Stripe US and hold USD in Mercury.
Finland is a global outlier in software density — mobile gaming (Supercell, Rovio, Small Giant, Metacore), enterprise SaaS, deep tech and thousands of independent studios and consultancies. Finnish founders default to an osakeyhtiö (Oy) or a light toiminimi (Tmi). Both work perfectly for Finnish and EU revenue, but the moment US customers dominate your pipeline the friction stacks up: SWIFT fees, EUR/USD spread, W-8BEN-E paperwork and US enterprise buyers asking for a US tax ID.
A Wyoming LLC handles the US-facing operational layer without touching your Oy. You get a US EIN, a US bank account (Mercury, Relay, Wise Business), full Stripe US, PayPal US and a compliant W-9 for enterprise AP. Your Oy stays as your Finnish and EU operating entity. We file the Wyoming LLC in 48 hours with registered agent, operating agreement and state fees included.
Wyoming beats Delaware for Finnish owners on cost, privacy and complexity: no state income tax, no franchise tax, no public member register and the strongest LLC charging-order protection in the US. YTJ / Kaupparekisteri is transparent by Finnish policy; Wyoming adds an anonymous, low-maintenance US layer purely for cross-border revenue.
Owning a foreign entity as a Finnish tax resident is legal. Finland taxes worldwide income, so LLC distributions and, in narrow fact patterns, väliyhteisölaki (CFC) attributions must be reported to Verohallinto. A Helsinki cross-border adviser will run the specific analysis — for active-income founders (SaaS, game studios, consultants) CFC exposure is generally limited and the operational wins are large.
wyoming llc for foreigners — Finland
The wins our Finland-based clients report — measured in dollars saved and platforms unlocked.
EUR/USD moves 5–8% inside a normal quarter. Keeping US revenue in a Mercury USD account gives you full control over conversion timing and rate rather than being forced to accept each incoming wire's spot rate.
Stripe Finland is available, but Stripe US supports more verticals, lower reserves for newer accounts, better US-card dispute economics and the deepest US SaaS billing integrations.
The strongest LLC creditor-protection statute in the US. Meaningful once your Finnish SaaS or mobile-game studio starts signing enterprise-scale US contracts.
Mercury, Relay and Wise Business onboard Finnish-owned Wyoming LLCs 100% remotely. ACH, domestic and international wires, virtual and physical debit cards, Procountor/Xero integrations.
US enterprise procurement teams strongly prefer US vendors. An Oy triggers W-8BEN-E and treaty paperwork; a Wyoming LLC files a standard W-9 and clears vendor onboarding in days.
Operate the US business as a Wyoming LLC today and convert to a Delaware C-Corp later if institutional US capital arrives — avoiding today the USD 800+ Delaware franchise-tax minimum.
Finland's two dominant vehicles are the osakeyhtiö (Oy, no minimum share capital since 2019) and the toiminimi (Tmi) for solo operators. Both work well domestically but neither offers Stripe US, a US bank account or W-9 onboarding.
The typical stack for a Finnish founder with mixed revenue is: keep the Oy for Finnish and EU customers where Finnish corporate tax and dividend rules are attractive, and add the Wyoming LLC as the entity that contracts with US customers. Cash flows from the LLC into the Oy as arm's-length service payments or to you personally as distributions, with treatment coordinated by your Finnish tilintarkastaja.
Solo consultants with mostly US revenue often skip the Oy and run a lean Wyoming-only stack with a Tmi for residual Finnish income. Get in touch — we can introduce you to a Helsinki cross-border adviser.

Finland taxes residents on worldwide income. A single-member Wyoming LLC owned by a Finnish tax resident with no US trade or business is treated by the IRS as a disregarded entity and generally owes zero US federal income tax. It must file Form 5472 + pro-forma 1120 annually as an information return — the penalty for missing this is USD 25,000. Our BASIC + IRS Filings annual plan covers it.
On the Finnish side, LLC distributions received personally are taxable in the year received. Finland's väliyhteisölaki (CFC law) can attribute the LLC's income currently in narrow cases — typically mainly passive income combined with low foreign taxation. For active-income founders (SaaS, games, consulting), CFC treatment is rarely the outcome. For the IRS side, see our Complete Guide for Non-US Residents.
