US side: a single-member Wyoming LLC owned by a Kenyan tax resident with no US trade or business (no US employees, no US office, no dependent US agent) is treated by the IRS as a disregarded entity under Reg. §301.7701-3. Federal income tax owed on non-US-effectively-connected income: zero. The one mandatory filing is Form 5472 + a pro-forma Form 1120, due 15 April — a missed filing carries a USD 25,000 minimum penalty per year. Kenyan side: KRA taxes residents on worldwide income at graduated PAYE rates. Distributions from the LLC are declared on the annual iTax return; there is currently no US–Kenya double-tax treaty in force, so foreign tax credits — not treaty relief — are the mechanism for avoiding double taxation.
