The Wyoming LLC built for Singapore founders who wantUS market access without the Stripe Atlas trap.
Form a Wyoming LLC with full US banking, Stripe access and proper tax structure. Built specifically for Singapore residents serving global customers — a cleaner, cheaper alternative to a Delaware C-Corp.
Stripe Atlas defaults you into a Delaware C-Corp. That's the wrong choice for most Singapore founders.
Unless you're actively raising US venture capital, a Delaware C-Corporation creates unnecessary tax complexity, higher annual costs, and a structure designed for someone else's business model.
Stripe Atlas Delaware C-Corp
- • ~$500 formation + $400+ annual maintenance
- • 21% US federal corporate tax on profits
- • Double taxation on distributions
- • Designed for VC fundraising path
Right if you're raising US VC. Wrong for everyone else.
Singapore Pte Ltd alone
- • S$315 ACRA + ongoing compliance
- • 17% corporate tax (SUTE first S$200K)
- • No native US payment processing
- • No US Stripe, no US App Store presence
Excellent for Singapore operations. Insufficient for the US market.
Wyoming LLC for Singapore founders
- • $399/year all-inclusive (state filing, registered agent, annual report)
- • Pass-through taxation — no entity-level US tax for properly structured non-resident owners
- • Foreign-sourced income flows to a Singapore-resident owner where territorial tax may apply
- • Full US Stripe, Mercury, Relay access
The right choice for 90% of Singapore founders.
Why Singapore + Wyoming LLC may be the most tax-efficient legal combination in the world.
Singapore uses a territorial tax system. Income earned outside Singapore is generally not taxed in Singapore. That creates an unusual opportunity for Singapore-resident founders running US LLCs.
Most countries tax their residents on worldwide income. If you live in India, the UK, the US or Germany, your US LLC's profits are taxed by your home country regardless of where the income is earned.
Singapore is different. Under Singapore's territorial system, foreign-sourced income is generally not taxed in Singapore unless received in Singapore in specific ways. When your Wyoming LLC earns income from non-Singapore sources, you can structure operations so this income remains outside the Singapore tax net under the foreign-sourced income exemption (Sections 13(8) and 13(9) of the Income Tax Act), subject to meeting the qualifying conditions.
On the US side, a single-member Wyoming LLC owned by a non-US person, with no US trade or business and no US-source income, generally pays zero US federal income tax. The IRS treats the LLC as a "disregarded entity" and income flows through to the non-US owner.
The combination is exceptional: no state-level tax in Wyoming, no US federal income tax (for properly structured non-effectively-connected income), and potential exemption from Singapore tax under foreign-sourced income rules. Not aggressive tax planning — a recognised, legal structure used by sophisticated founders worldwide.
This is not a guarantee of zero tax. Your specific tax outcome depends on your residency status, the source of your LLC's income, how income is received in Singapore, and current IRAS positions. We always recommend confirming your structure with a qualified Singapore tax advisor. What we guarantee is a properly formed Wyoming LLC; the tax optimisation depends on how you use it.
We're not your tax advisor. We're your formation team. Singapore-based CPAs we can introduce you to handle the IRAS side.
