MEST Africa graduates, Kumasi Hive fintech teams, and Accra-based design and content agencies use a Wyoming LLC to invoice US buyers in USD, hold revenue in Mercury, and finally accept card payments through the full Stripe US product suite — none of which their Ghanaian Ltd can do.
The Accra export paradox: Ghana runs one of West Africa's most mature startup ecosystems — MEST Africa has trained 300+ entrepreneurs, and Kumasi Hive and Accra's Impact Hub incubate everything from mobile-money-adjacent fintech to Afrobeats creator platforms. But cross-border payment infrastructure hasn't kept pace. Stripe Ghana is not generally available; PayPal Ghana is receive-only with mandatory withdrawal to a Ghanaian bank; and Payoneer → MTN MoMo round-trips typically cost 3–5% end-to-end before the GCB or Absa Ghana FX spread eats another 1–2%.
Case study: A Kumasi-based fintech team building on Flutterwave rails and selling white-label onboarding to two US challenger banks was routing USD 28k/month through Payoneer to MoMo. Between Payoneer's per-transaction fee, MTN MoMo's daily disbursement cap, and the GHS conversion spread, they were losing ~5.8% — over USD 19k/year. A Wyoming LLC + Mercury + Stripe US cut that to under 1%.
What the Wyoming LLC actually gives you: a US EIN issued directly by the IRS, a Mercury or Relay USD account with a real US routing number, Stripe US with Billing, Connect and Tax enabled, PayPal US Business, and — for enterprise onboarding — the ability to file a W-9 instead of a W-8BEN-E. That single form change removes the automatic 30% withholding on services income under IRC §1441.
Wyoming's own overhead is intentionally minimal: the annual state report, no state income tax, no publicly listed members, and the strongest LLC charging-order protection in US case law. We file your Wyoming LLC in 48 hours with registered agent, operating agreement and EIN application all included.
Ghanaian-side legality: owning a foreign entity as a GRA tax resident is fully legal. It triggers worldwide-income disclosure on your annual return and, if the LLC transacts with a Ghanaian entity you also own, routine transfer-pricing documentation. Any Accra cross-border advisor handles this in the annual filing.
wyoming llc formation — Ghana
The wins our Ghana-based clients report — measured in dollars saved and platforms unlocked.
GCB, Absa Ghana and Stanbic typically post USD→GHS at 2–4% off the interbank mid-rate on inbound wires. Hold revenue in Mercury USD and convert only what you spend locally — the recovered spread usually covers your entire LLC setup in month one.
Stripe Ghana isn't available for most use cases. Stripe US on your Wyoming LLC ships the full product suite — the same rails Paystack alumni use once they graduate to selling into the US directly.
The strongest asset-protection statute in US LLC case law — a layer no Companies Act 2019 Ltd structure provides in Ghana.
Pre-vetted application pack (passport, Ghana Card, EIN letter, formation docs) that gets Ghanaian-owned LLCs through Mercury and Relay without the back-and-forth first-time applicants normally hit.
Ghanaian entities onboarded by US enterprises trigger default 30% withholding under IRC §1441. A Wyoming LLC files a W-9 and is paid gross.
MTN MoMo per-day disbursement caps and Payoneer per-transaction ceilings don't handle a USD 60k monthly retainer. Same-day Fedwire into Mercury does — no cap, no manual review.
Most Ghanaian founders start with an RGD-registered Limited Company under the Companies Act 2019, a Ghana Card, GRA TIN, and SSNIT registration for any staff. That covers local invoicing and GRA compliance cleanly — it just doesn't unlock Stripe US, Mercury, or clean W-9 onboarding with US enterprises.
Two-entity model: the Ghanaian Ltd continues to handle local-currency retainers, SSNIT-covered staff, and any government or NGO work billed in GHS. The Wyoming LLC handles US contracts, SaaS revenue, and any Stripe subscription business — invoicing US clients directly and paying a documented management/service fee back to the Ghanaian Ltd for work physically performed in Accra or Kumasi.
Wyoming-only variant: when 80%+ of revenue is US-sourced and you don't have SSNIT-covered staff in Ghana, a Wyoming LLC plus a light sole-proprietorship for residual GHS invoicing is usually cheaper than maintaining a full Ghanaian Ltd. Book a call and we'll walk through your specific split.

US side: a single-member Wyoming LLC owned by a Ghanaian tax resident with no US trade or business (no US employees, office or dependent US agent) is treated by the IRS as a disregarded entity under Reg. §301.7701-3. Federal income tax owed on non-US-effectively-connected revenue: zero. The one mandatory filing is Form 5472 + a pro-forma Form 1120, due 15 April — a missed filing carries a USD 25,000 minimum penalty per year. Both bundled inside our BASIC + IRS Filings annual plan.
Ghanaian side: the GRA taxes residents on worldwide income under the Income Tax Act 2015 (Act 896). Distributions from the LLC are declared on your annual personal income tax return; there is no US–Ghana double-tax treaty in force, so foreign tax credits — not treaty relief — handle any US withholding that actually occurred. Where the LLC transacts with a Ghanaian entity you also own, arm's-length transfer-pricing documentation applies.
