Northwest Registered Agent Pricing 2026: The Real Total Cost for Non-Residents
Keep your LLC in good standing โ without the guesswork
Registered agent, annual report reminders and filing support included, so you never miss a deadline or a penalty notice.
From $529 ยท State fees included ยท 24-hour guaranteed filing
The number people remember from Northwest's homepage is $39. The number they end up paying in the first eighteen months is usually somewhere between $600 and $1,400, depending on how many add-ons they click and how much they outsource once they realise the IRS paperwork is real.
That is not a criticism of Northwest. Their pricing is more honest than most of the industry. It is simply that formation pricing and the actual cost of running a foreign-owned US company are two different conversations, and only one of them happens at checkout.
Here is the full arithmetic, written for someone who does not live in the United States.
Layer 1: what you pay on day one
Northwest's formation service is priced low on purpose. At the time of writing you pay a service fee of roughly $39, plus the state filing fee that Wyoming charges, plus whatever add-ons you select on the way through.
The first-year registered agent service is normally bundled into that. So far, so cheap.
Then the add-on screen appears:
- EIN service โ a paid extra, and mandatory in practice for any non-resident who wants a bank account or a payment processor
- Mail forwarding / virtual office โ a paid extra, and also close to mandatory once you realise the IRS and your bank both mail physical letters
- Annual report filing โ a paid extra each year
- Certified copies and certificate of good standing โ paid, and banks ask for them more often than you would think
Tick the boxes a non-resident genuinely needs and the "$39 LLC" lands somewhere north of $300 before the state has even acknowledged the filing. For a like-for-like view of what the recurring side looks like, our 2026 annual fees breakdown lays out every line item.
Layer 2: the renewal, which is the real price
Registered agent service renews at around $125 a year with Northwest. That is fair โ it is roughly the market rate for a company that answers the phone.
But renewals are where founders get surprised, because they stack:
| Recurring item | Typical annual cost | Optional? |
|---|---|---|
| Registered agent | ~$125 | No โ Wyoming requires one |
| Wyoming annual report | State fee, plus a service fee if filed for you | No |
| Mail forwarding / US address | $100โ$400 | Practically no |
| Form 5472 + pro-forma 1120 preparation | $150โ$600 via an accountant | No, if you are foreign-owned |
| Bookkeeping | Varies wildly | Depends on activity |
Notice that only the first line is something Northwest sells you as "registered agent pricing". The rest is real money leaving your account for the same company to stay legal.
Layer 3: the EIN, and why its price is misleading
Northwest charges a flat fee to obtain your EIN. The fee itself is reasonable. What is not obvious is the timeline.
Because you have no SSN or ITIN, the online IRS application is unavailable to you. The application must be submitted on Form SS-4 through the channels the IRS reserves for foreign responsible parties. Handled well, that is a matter of days. Handled through a queue, with a conservative quote and no follow-up, founders routinely wait four to eight weeks โ and every downstream step, from banking to Stripe, is frozen until the letter arrives.
The cost of that delay is not on the invoice, but it is the most expensive item on this page. We explain the mechanics and realistic timings in our EIN without an SSN guide. Our own clients see the number in 24 to 72 hours, which is not magic โ it is just knowing which channel to use.
Layer 4: the costs Northwest never quotes because they are not their job
This is where the total for a non-resident diverges sharply from the total for an American customer.
Federal filings
A foreign-owned single-member LLC files Form 5472 with a pro-forma 1120 every year, revenue or not. Miss it and the statutory penalty starts at $25,000. No formation company files this for you by default. See our Form 5472 guide for what the filing actually contains.
Banking
No US formation service opens the account. You apply yourself, and rejections are common when the documents are inconsistent or the business description is vague. Budget for at least one failed attempt if you are doing it alone, and read our notes on Mercury for non-residents first.
Rework
The most under-budgeted cost of all. A wrong responsible party on the SS-4, an operating agreement a bank will not accept, a registered address that conflicts with your Stripe application โ each one costs weeks and, often, a professional fee to unwind.
The honest 24-month comparison
Let us put real ranges next to each other for a non-resident forming one Wyoming LLC and keeping it compliant for two years.
| Northwest, DIY around it | Wyoming Experts | |
|---|---|---|
| Year 1 formation + agent + EIN + address | Roughly $350โ$550 | $529, state fees included |
| Year 2 renewals | Roughly $250โ$500 | $329 flat |
| Form 5472 preparation | Separate accountant | Available in the full package |
| Banking guidance | Not included | Included |
| Human who knows your country | Not included | Included |
On raw formation cost, Northwest can come out ahead. Once you price the EIN properly, add a US address, add the federal filing and add the hours you will spend reading IRS instructions written for accountants, the gap closes and usually reverses.
Our full package pricing is deliberately boring: one number, state fees included, no menu at checkout.
Where Northwest is still the right call
Let us be fair about this, because "everything is better with us" is a sales pitch, not an analysis.
Northwest is a good choice if you already have a US presence and only need a registered agent. It is a good choice if you have an accountant handling your federal filings and simply want a clean, privacy-respecting agent of record. It is a good choice if you have an SSN and can pull the EIN yourself in fifteen minutes.
It is the wrong shape of help if you are starting from zero in another country and the words "responsible party", "disregarded entity" and "pro-forma 1120" are new to you.
How to reduce the total, whichever provider you choose
- Price year two before you buy year one. Formation is a one-off; renewals are forever.
- Do not split the EIN from the formation. Mismatched details between the articles of organization and the SS-4 are the single most common cause of delay.
- Get the operating agreement right at the start. Banks reject single-member entities with thin documentation. Our operating agreement page covers the clauses that matter.
- Diarise the federal deadline immediately. The 5472 penalty dwarfs every other number on this page.
- Choose the state for the right reason. Wyoming is usually correct for non-residents, but not always โ see Wyoming vs Delaware.
A worked example: 24 months, one founder, real numbers
Take a consultant living in Buenos Aires who forms a single-member Wyoming LLC in January 2026 and keeps it running through December 2027. No employees, no inventory, roughly $90,000 of invoicing to US and European clients.
Route A: Northwest plus whatever else he needs
- Formation service fee and Wyoming state filing at the start
- Registered agent bundled in year one, renewed the following year
- EIN add-on, paid, delivered in roughly five weeks
- Mail forwarding, because the IRS and his bank both send paper
- Annual report handled as an add-on in year two
- Form 5472 and the pro-forma 1120 prepared by a US accountant he found on a forum
- Bookkeeping reconstructed in March from Stripe exports, billed hourly
Everything is legitimate. Nothing is coordinated. His two-year total sits comfortably above what the checkout page suggested, and the five weeks he lost waiting on the EIN were five weeks of unbilled work.
Route B: one flat package
Same entity, same obligations, one supplier, one renewal date, EIN in the first week. The formation number is higher. The total is not. And the March scramble does not happen because the bookkeeping was current all year.
We are not pretending this comparison is neutral. But run it with your own numbers and the shape holds: the cost of a foreign-owned US company is dominated by federal compliance and lost time, not by the formation fee.
Currency, cards and the small frictions nobody prices
A few line items that never appear in any provider comparison and reliably annoy founders in the first year:
- Card declines. Some non-US cards are declined by US formation checkouts, which means a second card, a Wise account, or a friend in the US paying on your behalf. That last option creates its own paperwork questions.
- Currency spread. Paying in USD from a local card typically costs two to four per cent above the interbank rate. On a $500 purchase it is noise; across formation, EIN, bank funding and renewals it stops being noise.
- Document courier fees. Certified copies and apostilles get physically shipped. If your local bank or tax authority wants an apostilled certificate of good standing โ common in Latin America and parts of Europe โ budget for it separately.
- Translation. Several countries require a certified translation of your US company documents before they will register the foreign entity for local tax purposes.
None of these are anyone's fault. They are simply part of the real cost of operating across borders, and they belong in your budget alongside the $125 renewal. If you want a sense of the country-specific version of this, our non-resident overview is the place to start.
What we would tell a friend
Do not optimise the formation fee. It is the smallest number you will deal with. Optimise for the EIN timeline, for who files your federal return, and for whether anyone will answer you in month seven. Those three decide whether the company costs you $700 a year or $2,000 plus a lost quarter.
Frequently Asked Questions
How much does Northwest Registered Agent cost per year?
Registered agent service renews at approximately $125 per year at the time of writing. Annual report filing, mail forwarding and any compliance extras are billed on top.
Are there hidden fees with Northwest?
Not hidden, exactly โ Northwest is more transparent than most. But the checkout total is not the annual total, and nothing in it covers federal tax filings, banking or ongoing advice.
Is $39 LLC formation real?
The service fee is real. The state filing fee is separate and mandatory, and the add-ons a non-resident needs are separate too.
Can I cancel and move to another registered agent?
Yes. A change of registered agent in Wyoming is a straightforward filing. Many of our clients arrive that way. Details are on our registered agent page.
What is the cheapest legitimate way for a non-resident to run a Wyoming LLC?
One flat package that includes formation, agent, EIN and the federal filing, renewed once a year. Splitting those across three vendors saves money on paper and costs it in rework.
Want the number without the spreadsheet?
Our packages start at $529 with state fees included, renew at $329, and the EIN lands in 24 to 72 hours. See what is in each package, or send us your situation and we will tell you honestly whether you need us or just a registered agent.
