Form a Wyoming LLC from Mexico — 100% Remote, 48 Hours

Mexican freelancers, agencies, Amazon FBA sellers and SaaS founders use a Wyoming LLC to invoice in USD, accept Stripe US and operate in the American market without crossing the border.

Why Mexican entrepreneurs are forming Wyoming LLCs in 2026

Mexico is uniquely integrated with the US market. Under USMCA, roughly 80% of Mexican exports flow north, and a rapidly growing share of Mexican freelancer, developer, creative-agency and Amazon FBA income comes directly from US clients or platforms. The question shows up sooner or later: why am I still invoicing in pesos, absorbing the FX spread and shut out of Stripe US when a US LLC would fix all three?

With a Wyoming LLC you become a US legal entity: IRS-issued EIN, a Mercury or Relay bank account in USD, full access to Stripe US, PayPal US, Amazon Seller Central US, Shopify Payments US and App Store publisher accounts. No visa, no relocation, no border crossing — you can form your Wyoming LLC in 48 hours from Mexico City, Guadalajara, Monterrey or Mérida.

Wyoming is the obvious pick over Delaware or Florida for the vast majority of Mexicans: no state income tax, no franchise tax, statutory member privacy, and only USD 62 per year in maintenance. Delaware, by comparison, charges USD 300 minimum per year and publishes officer names.

Owning a foreign entity as a Mexican tax resident is fully legal. SAT requires reporting foreign accounts and ownership stakes (annual return, DIM in some cases, and REFIPRE if applicable), which any Mexican accountant with international experience handles routinely. The savings on FX and platform fees typically outweigh the additional compliance cost in year one.

    Key advantages for Mexico residents

The wins our Mexico-based clients report — measured in dollars saved and platforms unlocked.

    Eliminate the MXN↔USD spread

Mexican banks charge 1.5–3% on USD conversion plus fixed SWIFT fees. Holding USD directly in Mercury removes conversion until you actually need pesos.

    Full Stripe US

Stripe Mexico exists but with fewer features, higher initial reserves and fewer integrations. Stripe US under your LLC unlocks Connect, Terminal, Radar and superior international acceptance.

    Wyoming asset protection

Wyoming LLC law offers the strongest charging-order protection in North America. A lawsuit against your personal assets in Mexico does not reach LLC assets.

    US bank account 100% remote

Mercury, Relay and Wise Business approve Mexican-owned LLCs without travel. Physical Mastercard shipped to Mexico, ACH, wires, QuickBooks Online Mexico compatible.

    Credibility with US clients

Large US enterprises prefer W-9 suppliers in their AP systems. Your RFC alone requires W-8BEN-E onboarding and extra vendor approvals.

    Amazon FBA and marketplaces

Amazon Seller Central US, Etsy US and eBay US prefer (and sometimes require) US legal entities for professional-seller categories. The LLC clears those requirements automatically.

Wyoming LLC vs Persona Física con Actividad Empresarial vs S.A. de C.V.

Most Mexicans serving US clients today sit in one of three structures: Persona Física con Actividad Empresarial or RESICO (ISR + VAT on income), a Mexican S.A. de C.V. (30% corporate ISR + VAT where applicable), or the informal-mixed setup many freelancers start with. None of them unlock Stripe US, USD bank accounts or clean W-9 onboarding the way a properly run Wyoming LLC does.

The Wyoming LLC coexists with your Mexican structure — it doesn't replace it. Typical pattern: keep your Persona Física / RESICO / S.A. de C.V. for Mexican operations and clients, and use the Wyoming LLC as the entity that contracts with US clients and receives income from US platforms. Distributions flow to you personally under the Mexico–US treaty mechanism, with a foreign tax credit on your annual SAT return for taxes paid abroad.

The second common pattern is LLC-only: if 90% of your revenue is US-source (US clients, US platforms, US app stores), a Wyoming LLC plus your personal RFC for residual Mexican income is usually simpler and cheaper than maintaining an S.A. de C.V. The right structure depends on your revenue mix, whether you plan to hire in Mexico, and your marginal ISR rate. Book a call with our team and we'll introduce you to cross-border tax accountants.

The Mexico–US Tax Treaty and your Wyoming LLC

Note: general information, not individual tax advice. Confirm your specific structure with a SAT-registered accountant experienced in cross-border work.

The Mexico–US Convention for the Avoidance of Double Taxation (in force since 1994, updated by later protocols) is the base document. It sets which country may tax each income type, provides a foreign tax credit for taxes paid in the other country, and reduces US withholding on dividends, interest and royalties to Mexican tax residents. A single-member LLC owned by a non-US resident with no US trade or business (no US employees, no US inventory, no US dependent agent) is treated by the IRS as a disregarded entity and generally owes no US federal income tax. It must file Form 5472 + a pro-forma 1120 annually — informational. The penalty for missing them is USD 25,000, so it matters. Our BASIC + IRS Filings plan files them for you.

On the SAT side, a Mexican tax resident who owns a foreign entity reports that income on the annual return. Depending on structure and ownership percentage, REFIPRE (preferential tax regime) rules may apply if the LLC is treated as sitting in a low-tax jurisdiction for Mexican purposes. A cross-border accountant navigates this routinely. For an IRS-side walkthrough, see our non-US resident guide.

    4. Custom Operating Agreement. Internal document Mercury and Relay require during onboarding. We draft it specifically for Mexican single-member owners.

    5. EIN without SSN/US RFC. Applied for with the IRS via international Form SS-4. Standard 4 weeks; our express service targets 10 business days.

    6. US bank account. Direct introductions to Mercury, Relay or Wise Business with pre-validated documentation. Onboarding 100% by video from anywhere in Mexico.

    7. Annual compliance. Wyoming Annual Report (USD 62), Registered Agent renewal, Form 5472 + 1120 to the IRS by April 15. All handled in our annual BASIC + IRS Filings plan.
