How Nevada's brand outran its statute
Nevada's LLC story starts in the mid-1990s when the state built a legal framework designed to poach entities from California. For a decade Nevada was the correct answer for a small subset of asset-protection cases and California-adjacent businesses. Then Nevada added revenue-raising layers: the State Business License ($200/year), the annual list of managers or members (a public filing) and, in 2015, the Nevada Commerce Tax on gross revenue above $4M.
The marketing did not update. Wyoming, quieter and cheaper, absorbed most of the non-resident LLC formations Nevada used to attract. In 2026, for a non-US resident choosing between the two, Wyoming is simply cheaper, quieter and administratively lighter.
The Nevada annual list nobody explains
Nevada requires an Initial List and an Annual List of managers or managing members. The list is public. For a non-resident who chose an LLC precisely to keep ownership off the record, this is a structural conflict. There are workarounds โ nominee managers, manager-managed vs member-managed โ but they cost money and require careful documentation.
Wyoming has none of this. The Registered Agent files at formation and the member list stays internal to the Operating Agreement. Silence is the default.

The narrow scenario where Nevada still wins is a business with operational presence in Nevada (Las Vegas hospitality, physical businesses on the strip). For a non-resident with no US presence, that scenario does not apply.
