Wyoming LLC vs Irish Limited Company: Which One Actually Fits Your Business in 2026?
The comparison nobody wants to write honestly
Ireland has one of the most attractive corporate tax regimes in Europe. 12.5% on trading profits. That single number is why Google, Meta and Stripe itself all chose Dublin. So why would an Irish founder ever pick a Wyoming LLC over a local Ltd?
Because "corporation tax rate" is one line on a spreadsheet. Real founders also care about setup time, banking, payment processors, cross-border VAT, personal exposure and future exit options. On several of those, the Wyoming LLC wins clearly. On others, the Irish Ltd is the better call. Here is the honest split.
Setup: speed, cost and paperwork
Irish Ltd (LTD company under CA 2014): Filed via the CRO. Realistic timeline 5–10 business days, longer if you need a non-resident director bond (approx €2,000) because you have no EEA-resident director. Constitution, first directors' meeting, share allotment, PPS number verification — all mandatory.
Wyoming LLC: Filed with the Wyoming Secretary of State. LLC live in 24–48 hours, EIN in 24–72 hours, Mercury Bank in another 12–24 hours. No residency bond, no PPS verification, no share allotment. Total to fully operational: about 4 business days.
Advantage: Wyoming LLC.
Ongoing compliance
Irish Ltd: Annual return (B1) with financial statements to CRO, corporation tax return (CT1) to Revenue, VAT returns bi-monthly, PAYE if you employ yourself, iXBRL tagged accounts above thresholds. Realistic cost of a decent Irish accountant handling this: €2,000–€4,500/year.
Wyoming LLC (single-member, non-US resident): Wyoming annual report, Form 5472 + pro forma 1120 to the IRS, BOI report where applicable, plus your Irish personal return since profits flow through. Realistic cost with our service: included in the yearly package.
Advantage: depends on your Irish accountant. Usually Wyoming LLC for pure international founders, Irish Ltd if you already run a heavy Irish operation.
Corporation tax
Irish Ltd: 12.5% on trading profits, 25% on passive/non-trading. If you draw the profit as salary, add PAYE + PRSI + USC — up to 52% marginal. Retained inside the company at 12.5% is the real advantage.
Wyoming LLC: A single-member LLC owned by an Irish tax resident is a disregarded entity. No US federal income tax on foreign-sourced income (assuming no US ETBUS). But Revenue taxes the profit on you personally at Irish rates. You cannot retain profits inside the LLC at 12.5% — the pass-through nature makes that impossible.
Advantage: Irish Ltd, clearly, if your strategy is to retain and reinvest profits.
Banking and payments
Irish Ltd: AIB, BOI, Revolut Business, Fire.com. Slow onboarding, EUR-first, USD accounts are secondary. Stripe Ireland only. FX charges of 2–3% on USD-in / USD-out cycles.
Wyoming LLC: Mercury, Relay, Brex — full USD business banking with virtual cards, ACH, wires. Stripe US with full product suite. Wise Business as EUR bridge. FX friction: negligible.
Advantage: Wyoming LLC, especially for USD-first businesses.
Personal liability and privacy
Both offer limited liability. But:
- Irish Ltd directors are on a public register at CRO with full name and address.
- Wyoming LLC members are not disclosed publicly. Only the Registered Agent is public. This is one of the strongest privacy regimes in the US.
Advantage: Wyoming LLC.
Exit and investment
Irish Ltd: Familiar to European and Irish VCs. SEIS-equivalent (EII) available. Convertible loan notes routine. Clean cap tables.
Wyoming LLC: Not ideal for VC investment. US VCs prefer Delaware C-Corp. If you plan to raise more than €500k of institutional VC, an LLC is a step you will eventually convert away from.
Advantage: Irish Ltd for local VC, but Delaware C-Corp for US VC — Wyoming LLC is a poor fit for either.
The decision table
- Freelancer / agency, mostly USD, no VC plans: Wyoming LLC.
- SaaS with US-heavy customers, no VC yet: Wyoming LLC now, migrate to Delaware C-Corp before a serious round.
- Local Irish B2B consultancy, EUR-only: Irish Ltd.
- Retain profits inside a company at low tax: Irish Ltd.
- Privacy-sensitive founder: Wyoming LLC.
Can you run both?
Yes, and many mature founders do. The Irish Ltd holds the local operations and long-term IP; the Wyoming LLC handles the US-facing invoicing and payment processing. This is a more advanced setup and needs deliberate contract design between the two entities to avoid transfer-pricing issues. For most founders, start with one. Frequently asked questions
Isn't 12.5% always cheaper than the Wyoming LLC route?
Only if you keep profits inside the Ltd. Once you pay yourself a salary or dividend, the effective rate climbs fast in Ireland. For pass-through freelancer income, the two structures often land near each other on total tax.
Can I move an existing Irish Ltd into a Wyoming LLC?
You cannot "convert" one to the other. You would set up the Wyoming LLC in parallel and gradually migrate contracts, with your accountant handling closure or dormancy of the Ltd.
What about the non-resident director bond for the Irish Ltd?
If you leave Ireland and none of your directors is EEA-resident, you either bond (approx €2,000, refreshable every two years) or replace the director. The Wyoming LLC has no equivalent requirement.
